These Terms of Service (“ToS”) govern the relationship between you and Road Ally regarding your use of our mobile application, website, and all related Services. Please read these terms carefully. They constitute a binding legal agreement.
Road Ally operates a technology platform that connects users needing roadside assistance (“Requesters”) with verified service providers (“Allies”). By using our Services, you acknowledge that Road Ally is a facilitator only and is not a provider of services, nor an employer of Allies. Your access is conditioned upon your acceptance of these ToS and your successful completion of our mandatory identity and competence verification process.
1. Acceptance of Terms
By accessing or using the Road Ally mobile application and website (collectively, the “Services”), whether as a requester of services (“Requester”) or a provider of services (“Ally”), you agree to be bound by these Terms of Service (“ToS”) and our Privacy Policy. If you do not agree to these ToS, do not use the Services.
2. The Road Ally Platform & Role
2.1 Nature of Service
Road Ally operates as a two-sided digital marketplace to connect Requesters seeking roadside assistance (e.g., tire change, jump start, towing) with nearby Allies offering those services. Road Ally is not a motor club, a transportation carrier, or an employer of Allies.
2.2 Independent Contractors
Allies are independent contractors. They are solely responsible for the tools, training, insurance, and quality of service they provide. Road Ally is only the technology platform facilitating the connection and payment.
3. User Eligibility and Verification (Trust & Safety)
3.1 Minimum Age
You must be at least 18 years of age to use the Services.
3.2 Mandatory Identity Verification (KYC)
To ensure the security, competence, and integrity of our marketplace, all users (Requesters and Allies) must complete a mandatory identity verification process (KYC) facilitated by our third-party provider, Persona.
3.3 Verification Purpose
- Account Registration: Verification is mandatory to confirm identity, professional credentials, competence vetting for the services offered, and to ensure the safety of the Requester.
- For Requesters: Verification is mandatory to confirm identity, prevent payment fraud, and ensure the safety of the Ally being dispatched.
3.4 Vetting Disclosures
While Road Ally facilitates vetting, Requesters and Allies acknowledge that Road Ally makes no warranty or guarantee regarding the competence, character, or future reliability of any user. Use of the platform is at your own risk.
4. Financial Terms and Payment
4.1 Pricing and Quotes
Requesters will receive a transparent, upfront quote for services requested via the app or through the “Call To Request” process.
4.2 Payment Authorization and Charge (Post-Service Flow)
- Authorization:Upon request confirmation, Road Ally will pre-authorize the Requester’s designated credit card for the quoted service amount. This authorization verifies funds but does not charge the card.
- Charge: The card will only be charged upon successful completion of the service request and confirmation by the Ally in the mobile application.
4.3 Payment Processing (Stripe)
All payments are processed through our integrated third-party payment processor, Stripe. By using the Services, you agree to be bound by the Stripe Services Agreement.
4.4 Payment Methods
- Platform Payment: The primary method involves the Requester providing card details for authorization and subsequent charging by the Road Ally platform after service completion.
- Post-Service Payment (Ally POS):For “Call To Request” or specific service types, the Ally may collect payment using a Road Ally-issued POS device. The card is charged via the POS upon the Requester’s confirmation of service completion.
- Call To Request Verification: For any card provided via the Call Center, the Requester must successfully complete a verification code process to authorize the transaction and indemnify Road Ally against fraudulent card submissions.
4.5 Ally Compensation
Allies are paid the service fee, less Road Ally’s stated commission, for all successfully completed transactions confirmed by the platform.
5. User Conduct and Responsibilities
5.1 Safety and Conduct
Users (both Requesters and Allies) must act professionally and respectfully. Any threats, harassment, or unlawful conduct will result in immediate and permanent removal from the platform.
5.2 Requester Responsibilities
The Requester is responsible for providing accurate vehicle information, a clear location, and ensuring their vehicle is in a safe, accessible area for service.
5.3 Ally Responsibilities
The Ally is responsible for carrying appropriate insurance, arriving promptly, performing the requested service competently, and adhering to all local laws and regulations.
6. Disclaimers and Liability
6.1 No Warranty
Road Ally provides the Services on an “as-is” and “as available” basis. We expressly disclaim all warranties, including but not limited to, fitness for a particular purpose, non-infringement, and the quality of service provided by the Ally.
6.2 Limitation of Liability
Road Ally will not be liable for any damages (direct, indirect, incidental, or consequential) arising from the use of the Services, including property damage or personal injury caused by an Ally. The Requester’s sole remedy for damages arising from the service itself is against the Ally.
6.3 Indemnification
You agree to indemnify and hold harmless Road Ally, its officers, and employees from any claims, liabilities, and expenses arising from your use of the Services or your breach of these ToS.
7. Governing Law and Dispute Resolution
These ToS shall be governed by the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions. Any dispute arising from these ToS will be resolved through mandatory, binding arbitration in Winnipeg, Manitoba.
8. General Provisions
8.1 Data Transfers
If you use our Services from outside Canada, your information may be transferred internationally. We take steps to ensure adequate safeguards are in place to protect your data.
8.2 Updates to This Policy
We may update these ToS from time to time. Your continued use of the Services after any modification constitutes your acceptance of the new ToS.
